1. Acceptance of Terms
By accessing, registering for, or using the web and mobile applications provided by Rokr Solutions Inc., doing business as Invoice Blaze ("Company," "we," "us," or "our"), you ("Customer," "you") agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms in their entirety, you do not have permission to use the Invoice Blaze software, websites, or associated services (collectively, the "Service").
2. The Service
Invoice Blaze is a software tool that helps freelancers and small businesses create invoices, estimates, receipts, and credit notes, track time and projects, manage client records, and generate reports. The Service is available as a web application and as mobile applications for iOS and Android.
You are solely responsible for the accuracy of the documents you create using the Service, including tax calculations, line items, and client details. Invoice Blaze does not provide accounting, tax, or legal advice, and you are responsible for ensuring that your use of the Service complies with applicable laws and regulations in your jurisdiction.
3. Account Registration & Security
To access the Service, you must create an account. By registering, you represent that you are of legal age to form a binding contract in your jurisdiction and that you are using the Service for business or professional purposes.
You are solely responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access or suspected security breach.
4. Acceptable Use
You agree to use the Service in compliance with all applicable laws and regulations. You may not:
- Use the Service to process unlawful transactions or generate fraudulent or misleading business documents.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where prohibited by law.
- Introduce malicious code, viruses, or other harmful content.
- Interfere with or disrupt the Service infrastructure.
- Resell, lease, or sublicense the Service without our written permission.
5. Free Plan & Future Paid Plans
Invoice Blaze currently offers a free plan with usage limits, including limits on invoices per month, clients, and business profiles. Applicable limits are displayed within the Service and on our pricing page, and may change from time to time.
Paid plans may be offered in the future. If and when paid plans become available, pricing, billing intervals, included features, and applicable taxes will be presented before purchase. Unless otherwise required by law or expressly stated at checkout, fees for paid plans are non-refundable for the current billing period.
We may introduce, modify, suspend, or discontinue plans, including the free plan, at any time. If we materially reduce the functionality of an existing paid plan, we will make reasonable efforts to provide advance notice.
6. Payment Processors
If paid plans become available, subscription payments may be processed by third-party providers such as RevenueCat, Stripe, the Apple App Store, or Google Play. Your use of those services will be governed by their separate terms, billing rules, and privacy policies.
Invoice Blaze does not store complete payment card numbers on its own servers. We may receive limited billing-related information from payment providers, such as subscription status, transaction identifiers, receipt metadata, or similar confirmation data necessary to manage subscriptions.
We are not responsible for the availability, processing errors, charge disputes, or acts or omissions of third-party payment providers.
7. Third-Party Services & Integrations
The Service relies on third-party services to operate, which may include providers of cloud hosting, infrastructure, authentication, email delivery, analytics, crash reporting, app distribution, and payment processing. These third-party services are governed by their own terms and privacy policies.
We make reasonable efforts to select reliable providers, but we do not control their operations and are not responsible for their availability, performance, security posture, or data practices.
8. Intellectual Property
The Service, including its software, design, visual interface, trademarks, branding, and related intellectual property, is owned by Rokr Solutions Inc. or its licensors and is protected by applicable law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business use.
If you send us feedback, ideas, or feature requests, you agree that we may use them without restriction or obligation to you.
9. Your Data & Aggregated Anonymous Data
Your Data: You retain ownership of the data, documents, and other content you submit to the Service ("Customer Content"). You grant us a limited license to host, copy, process, transmit, display, and back up Customer Content solely as necessary to provide, maintain, secure, and improve the Service for you.
Aggregated Anonymous Data: We may collect and use anonymized and aggregated usage data that does not identify you or any individual to analyze trends, improve the Service, and operate our business, as further described in our Privacy Policy.
Backups: You are responsible for maintaining your own backups of your business data. While the Service includes export tools such as CSV export, we do not guarantee against data loss.
10. Service Changes & Availability
We are continuously improving the Service, and features may be added, changed, suspended, or discontinued at any time. We will use reasonable efforts to provide notice of material changes that significantly reduce core functionality.
The Service is provided on an "as available" basis. Scheduled maintenance, infrastructure failures, internet disruptions, or third-party outages may cause temporary interruptions, delays, or degraded performance.
11. Termination & Inactive Accounts
You may stop using the Service at any time and may request account deletion by contacting us or using any in-product tools we make available. We may suspend or terminate your access if you violate these Terms, create risk for other users, or use the Service unlawfully.
Upon termination, your right to use the Service ends immediately. Cloud-synced data may be retained or deleted in accordance with our Privacy Policy and data retention practices.
If your account remains inactive for an extended period, we may deactivate or delete the account after reasonable notice where feasible.
12. Disclaimers, Limitation of Liability & Indemnity
Disclaimer: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM DATA LOSS.
Not Professional Advice: Invoice Blaze is a software tool for creating and managing business documents. We do not provide accounting, tax, legal, or financial advice. You are solely responsible for verifying the accuracy and compliance of your records, invoices, and related documents.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY CANADIAN DOLLARS (CAD $50).
Indemnity: You agree to defend, indemnify, and hold harmless Rokr Solutions Inc. and its officers, directors, employees, affiliates, and agents from claims, damages, liabilities, and expenses arising from your misuse of the Service, your Customer Content, your violation of these Terms, or your violation of applicable law or third-party rights.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict of laws principles. Subject to any non-waivable consumer law rights, disputes arising from these Terms or the Service will be brought exclusively in the courts located in British Columbia, Canada.
14. Survival
The sections relating to intellectual property, customer data licenses, aggregated anonymous data, payment obligations accrued before termination, disclaimers, limitation of liability, indemnity, governing law, and any other provisions that by their nature should survive will remain in effect after termination or expiration of these Terms.
15. Force Majeure
We are not liable for delay or failure to perform to the extent caused by events beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, labor disputes, cyber incidents, third-party service failures, or public health emergencies.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we may also provide notice through the Service, by email, or on our website.
Your continued use of the Service after the updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law. If you do not agree to the updated Terms, you should stop using the Service and may request account deletion.
